Now the interesting stuff is that starting MpLabX 4.2 again will then overwrite the version number back to the old (its own) version. In my case the only other change in a XC16 GB406 project was adding Configurations.xml will be modified and explicitly it will change the version number of the configuration. Indeed MpLabX 5.0 does modify the project, so the warning is justified. 5 still complains that project needs converting, but who cares whatever I answer I did a similar test.
